1. General Provisions
Service Operator
1.1. The Service is provided by Vedunya LLC (hereinafter — the "Company"), which is the rightsholder of the software and technologies of the Service. All rights to the Service and its components belong to the Company, except for content provided by users.
Subject of the Service
1.2. The Service is a corporate AI chat for internal business purposes. These Terms govern the use of all Service functionality by all users on any access platform.
Scope of Terms
1.3. These Terms apply to any use of the Service regardless of form and access environment, including web interface, mobile applications, API, and on-premises versions of the Service. Any function or version of the Service (including integrations or chatbots on third-party platforms) is subject to these Terms.
Additional Documents
1.4. The following documents are an integral part of these Terms: Privacy Policy and other policies/agreements directly specified by the Company. By using the Service, the User confirms familiarity and agreement with the terms of these documents to the extent applicable.
Changes to Terms
1.5. The Company reserves the right to make changes to these Terms. In case of changes, the new version of the Terms takes effect from the moment of publication. The Company will notify users of significant changes, but the user is obliged to independently monitor the current version. Continued use of the Service after changes take effect means acceptance of the new version.
Lawful Use
1.6. The User confirms that they have all rights and authority to accept these Terms and use the Service. The User guarantees compliance with all applicable laws when using the Service.
2. Registration and User Account
Account Registration
2.1. Access to the full functionality of the Service may require registration of an account. The User is obliged to provide accurate and complete information during registration and maintain its relevance. Use of the Service is permitted only for adults with legal capacity (18+), or persons who have received the necessary permission in accordance with the law.
Account Security
2.2. The User is responsible for the security of their credentials (logins, passwords, access tokens, etc.) and undertakes to keep them confidential. It is strictly prohibited to transfer account credentials to third parties or otherwise provide access to your account to outsiders.
Unauthorized Access
2.3. In case of loss of control over the account, password compromise, or any unauthorized access by third parties to the account, the User must immediately change the password and promptly notify the Company. The Company is not responsible for damage caused by unauthorized use of the User's account.
Account Usage
2.4. The User undertakes to use their account personally and exclusively within the granted access rights. The User is prohibited from registering more than one account in their name, bypassing access restrictions, or using the account in any way other than for the purposes provided by the Service.
Organization Account
2.5. If an account is created on behalf of an organization (e.g., employer), or corporate identification is used, the User guarantees that they have the necessary authority to accept the Terms on behalf of such organization. In this case, the organization is responsible for the actions of the authorized User.
3. Service Usage: Obligations and Prohibitions
General User Obligations
3.1. The User is obliged to use the Service in good faith, exclusively for lawful and permitted purposes, in accordance with these Terms, Service documentation, and Company instructions. The User agrees not to take actions that may harm the Service, the Company, or third parties.
Prohibited Actions
3.2. When using the Service, the User is prohibited from performing the following actions:
- Using the Service for unlawful purposes, fraudulent operations, or other actions that violate legislation or the rights of third parties
- Using the Service for illegal business, money laundering, or export control violations
- Using the Service to develop or distribute malicious programs, computer viruses, network attacks (DoS/DDoS)
- Actions leading to destabilization of the Service, attempts to interfere with its functioning
- Unauthorized access to any part of the Service, servers, databases, or related infrastructure
- Hacking attempts, vulnerability scanning, password guessing, using others' accounts
- Disassembling, decompiling, emulating, cloning the source code, algorithms, knowledge base, or Service models
- Removing, hiding, or altering intellectual property notices
- Using Service output to train competing artificial intelligence models
- Bypassing established restrictions on Service use, request limits, or content filtering mechanisms
Prohibited Content
3.3. The User is prohibited from uploading, entering, generating, or distributing the following content through the Service:
- Illegal materials: extremist information, calls for violence, terrorism, incitement to hatred, propaganda of discrimination
- Offensive content: materials containing insults, threats, defamation, damaging honor and dignity
- Pornographic materials: any pornographic materials, especially those involving minors
- Confidential information: state secrets, trade secrets, personal data of third parties without permission
- Content violating intellectual property rights: copyrights, trademarks, patents of third parties
- False information: knowingly false, misleading information, phishing texts, fraudulent offers
- Other materials that the Company deems prohibited, unethical, or dangerous
Monitoring and Protection Measures
3.4. The Company has the right to monitor the use of the Service for compliance with the Terms. In case of violations, the Company has the right to remove or block content, restrict or terminate User access to the Service without liability for possible consequences.
Liability for Violations
3.5. In case of violation of these Terms by the User, the Company has the right to suspend or terminate such User's access to the Service without reimbursement of any costs or losses. The User may be held liable under the law for unlawful actions.
4. Content and Data Rights
User Content (Input)
4.1. The User retains all ownership and intellectual property rights to their original Content uploaded to the Service, provided that such Content belonged to them originally. The User guarantees that they have all necessary rights to transfer their Content to the Service.
Generated Content (Output)
4.2. Intellectual property rights to original elements of Output content created by the Service belong to the User to the maximum extent permitted by law. The User understands that Output content is automatically generated and may not be unique.
Content Usage Restrictions
4.3. The User is solely responsible for verifying the possibility and legality of using generated materials. Any use of Output content is at the User's own risk.
Company License to User Content
4.4. The User grants the Company a non-exclusive, perpetual, royalty-free license to use the Content to the extent necessary for providing Service services, its operation, support, and quality improvement.
5. Confidentiality and Data Processing
Confidentiality and personal data processing issues are governed by the Privacy Policy, which is an integral part of these Terms. The Company undertakes to ensure protection of user data in accordance with the requirements of Federal Law No. 152-FZ 'On Personal Data' and applicable legislation. The Company does not use user data for model training without explicit consent.
6. Disclaimer of Warranties and Limitation of Liability
6.1. The Service is provided on an 'as is' basis. The Company does not guarantee uninterrupted operation of the Service, absence of errors, or compliance of the Service with specific purposes or User expectations.
6.2. The Company is not liable for decisions made by the User based on Service results, nor for direct or indirect losses related to Service use.
6.3. The User is solely responsible for verifying the correctness, accuracy, and applicability of information provided by the Service before using it.
6.4. The Company's maximum liability under these Terms is limited to the amount paid by the User for Service use in the last 12 months.
7. Final Provisions
7.1. These Terms are governed by the laws of the Russian Federation.
7.2. All disputes arising from these Terms are resolved through negotiations. If no agreement is reached, disputes are referred to the court at the Company's location.
7.3. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
